By accessing or using Foan ("the Service"), operated by Foan Ltd ("we", "our", "us"), a company registered in England and Wales (registered office: Unit A, 82 James Carter Road, Mildenhall, Suffolk, IP28 7DE; VAT/Tax Ref: BRCT00003861159), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Foan provides an AI-powered phone agent platform that allows businesses to deploy automated voice agents to handle incoming phone calls. The Service includes website scanning, AI agent configuration, voice call processing, call transcription, and a management dashboard.

3. Account Registration

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate and complete information and keep it updated.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity, or misrepresent your affiliation
  • Use the Service to make fraudulent, harassing, or abusive phone calls
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to collect personal information without consent
  • Resell or redistribute the Service without our written permission
  • Use the Service in a way that could harm minors

5. AI Agent Responsibilities

You are responsible for the content and behavior of your AI agent, including the information it provides to callers. You must ensure that your agent's knowledge base is accurate and up to date. We are not liable for any inaccurate information your agent provides based on the data you supply.

6. Call Recording and Transcription

The Service may record and transcribe phone calls for the purpose of providing call summaries and analytics. You are responsible for complying with all applicable call recording laws in your jurisdiction, including obtaining consent from callers where required.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Foan and protected by intellectual property laws. Your business data, knowledge base content, and call data remain your property. You grant us a limited license to process this data to provide the Service.

8. Payment and Billing

Certain features require a paid subscription. Prices are listed on our pricing page and may change with 30 days' notice. Subscriptions renew automatically unless cancelled. Refunds are provided at our discretion.

9. Free Trial and Demo

We may offer free trials or demo calls. Demo sessions are subject to usage limits and may be terminated at any time. Demo data is temporary and may be deleted after 24 hours unless you create an account.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any downtime or service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, Foan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless Foan from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may terminate or suspend your account at any time for violation of these Terms. You may terminate your account at any time through the Settings page. Upon termination, your right to use the Service ceases, and we may delete your data after a reasonable retention period.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and changing the "Last updated" date. Continued use of the Service after changes constitutes acceptance.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Foan operates, without regard to conflict of law principles.
